By accessing or using Percify ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Percify is an AI-powered platform that enables users to create, customize, and deploy AI avatars for various applications including video creation, voice synthesis, and digital content generation. The Service uses artificial intelligence and machine learning technologies to generate realistic avatars based on user inputs.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account
Not share your account with others
Be at least 13 years old (or the age of majority in your jurisdiction)

4. Acceptable Use Policy

You agree NOT to use the Service to:

Create deepfakes or misleading content intended to deceive
Generate content that violates any person's rights (including privacy, publicity, or intellectual property rights)
Create avatars of individuals without their explicit consent
Generate illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
Create content depicting minors in any inappropriate manner
Impersonate any person or entity
Engage in any fraudulent or manipulative activities
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Use the Service for any illegal purpose

5. Content and Intellectual Property

Your Content

You retain ownership of all content you upload ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and store your content solely to provide the Service. You represent and warrant that you have all necessary rights to the User Content and that it does not violate any third-party rights.

Generated Content

You own the AI-generated avatars and content created through the Service ("Generated Content"), subject to these Terms. However, you acknowledge that similar or identical content may be generated for other users based on similar inputs.

Our Intellectual Property

The Service, including its software, algorithms, design, and all related intellectual property, is owned by Percify and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6. Subscription and Payment

Certain features require a paid subscription:

Subscription fees are billed in advance on a recurring basis (monthly or annually)
All fees are non-refundable except as required by law
We may change pricing with 30 days' notice
Your subscription automatically renews unless cancelled
You can cancel anytime from your account settings
Upon cancellation, you retain access until the end of your billing period
Failed payments may result in service suspension

7. Credits and Usage Limits

Certain features consume credits. Credits expire according to your subscription plan. Unused credits do not roll over unless specified in your plan. Additional credits may be purchased separately. We reserve the right to impose usage limits to prevent abuse.

8. Content Moderation and Removal

We reserve the right to review, monitor, and remove any User Content or Generated Content that violates these Terms or is otherwise objectionable. We may suspend or terminate accounts that repeatedly violate our policies. We are not responsible for monitoring all content but may do so at our discretion.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. THE QUALITY OF AI-GENERATED CONTENT MAY VARY AND IS NOT GUARANTEED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERCIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Percify and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your Generated Content, or your violation of these Terms.

12. Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

13. Termination

We may suspend or terminate your account:

If you violate these Terms
If your account is inactive for an extended period
If required by law or legal process
For any reason with or without notice

Upon termination, your right to use the Service will immediately cease. We may delete your User Content and Generated Content, though we may retain certain data as required by law or for legitimate business purposes.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

You must clearly disclose when content is AI-generated where required by law or platform policies

16. Export Controls

You agree to comply with all applicable export and import laws and regulations. You may not use the Service if you are located in a country subject to embargo or if you are on any government restricted parties list.

17. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Percify
Severability: If any provision is found invalid, the remaining provisions remain in effect
No Waiver: Our failure to enforce any right does not waive that right
Assignment: You may not assign these Terms; we may assign them without notice
Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
